Base Application Scripts EULA

NOTICE TO USER:
Please read this End User License Agreement (“Agreement”) carefully. By using all or any portion of the Base Application Scripts (applications based on the InfiniSuite SDK) of InfiniSuite, LLC’s (“InfiniSuite”) web-based, enterprise resource planning software (“InfiniSuite ERP”) you accept all the terms and conditions of this Agreement. If you do not agree, do not use the Base Application Scripts.

1. GENERAL USE

1.1 InfiniSuite grants to you a non-exclusive license to use the source code for the Base Application Scripts only in connection with your use of InfiniSuite ERP (the “License”). The License shall be valid until revoked by InfiniSuite, which InfiniSuite may do in its sole discretion. The Base Application Scripts are provided to you free of charge, though there are limits upon your use of the Base Application Scripts.

1.2 You may not charge money or fees for the Base Application Scripts.

2. INTELLECTUAL PROPERTY RIGHTS

2.1 This License does not transfer to you any intellectual property rights in or to the Base Application Scripts or InfiniSuite ERP.

2.2 The Base Application Scripts are protected by applicable copyright law, including international treaty provisions. The Base Application Scripts may be copied and distributed under the conditions that the original copyright notices and disclaimers of warranty will remain intact, and the Base Application Scripts are accompanied by a copy of this Agreement.

3. DISCLAIMER OF WARRANTIES. The Base Application Scripts are provided "AS IS", without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose and non-infringement. In no event shall InfiniSuite be liable for any claim, damages or other liability, whether in an action of contract, tort or otherwise, arising from, out of or in connection with the Base Application Scripts.

4. LIMITATION OF LIABILITY. In no event will InfiniSuite be liable for any damages, claims or costs whatsoever or any consequential, indirect, incidental damages, or any lost profits, even if InfiniSuite has been advised of the possibility of such loss, damages, claims or costs or for any claim by any third party.
